Terms & Conditions — Affiliate Programme
This agreement is between [FULL LEGAL ENTITY NAME], a [LEGAL FORM] registered in Georgia ([REGISTRATION NUMBER]), operating the VELÈ aesthetic clinic at [ADDRESS] ("the Clinic"), and the individual or entity registered as an affiliate ("the Affiliate").
3.1 Eligibility and registration. Applicants must be at least [AGE] years of age. [Whether a registered business is required.] The Clinic reserves the right to accept or decline any application at its sole discretion. The Affiliate is responsible for the accuracy of all information provided at registration.
3.2 The affiliate relationship. The Affiliate is an independent party, not an employee, agent, or representative of the Clinic. The Affiliate has no authority to enter into obligations on the Clinic's behalf. Any tax liability arising from commission payments is the Affiliate's sole responsibility.
3.3 Promotional conduct. Affiliates must not make medical claims, guarantee outcomes, diagnose conditions, or present themselves as medically qualified. Affiliates must not engage in spam, paid search advertising on the Clinic's brand name, impersonation of the Clinic, or misleading claims about prices or results.
3.4 Use of clinic brand and materials. Affiliates may use the Clinic's logo, provided photographs, videos, and banners in their promotional activity, subject to the following conditions: materials must not be altered; materials must only be used to promote the Clinic's services; permission to use materials ends immediately when the affiliate relationship ends.
3.5 Changes to the programme. The Clinic may change commission rates, discount percentages, eligible procedures, and payout thresholds at any time. Changes apply to future bookings and do not affect commission already earned. Affiliates will be notified of material changes [by email / via the dashboard].
3.6 Termination. Either party may end the affiliate relationship at any time by providing written notice. Commission earned but not yet paid at the time of termination will be [handled as follows: specify]. Grounds for immediate termination without notice include fraud, systematically misleading promotional claims, or actions that cause reputational harm to the Clinic.
3.7 Fraud and abuse. Self-referral, fake bookings, artificially inflated amounts, and sharing discount codes on coupon aggregator sites are prohibited. Where the Clinic identifies such activity, it reserves the right to withhold unpaid commission and terminate the affiliate relationship immediately.
3.8 Personal data. The Clinic holds the Affiliate's registration information and payment details for the purposes of operating the programme. Affiliates may see limited booking information about referred customers (procedure name, booking date, and status) — no customer names or contact details are shared. Affiliates must not misuse or further disclose any customer information they receive. The Clinic's handling of personal data is governed by its Privacy Policy.
3.9 Liability. The Clinic makes no guarantee of earnings or of the continued operation of the affiliate programme. The Clinic's liability to Affiliates is limited to commission properly calculated and owed under these terms. The Clinic is not liable for any indirect or consequential loss.
3.10 Disputes and governing law. Any dispute arising from this agreement should first be raised with the Clinic in writing. This agreement is governed by the laws of Georgia. The courts of Georgia have jurisdiction over any dispute that cannot be resolved by agreement.
